Terms of Service

These Terms of Service govern your access to and use of the LiveWell iOS application, related websites, hosted features, and related services (collectively, the "Services") operated by Livewell LLC ("LiveWell", "we", "us", or "our"). By downloading, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms work together with the LiveWell Privacy Policy. If you use LiveWell, you also agree to the privacy practices described there.
Eligibility and accounts
You may use the Services only if you can form a binding agreement with us and may legally use the Services where you live. If you are under the age of majority in your jurisdiction, you must use the Services with permission from a parent or legal guardian.
Some features require an account, including Sign in with Apple and subscription-linked access. You agree to provide accurate, current information, keep your account access secure, and notify us promptly if you believe your account has been accessed without authorization. You are responsible for activity that occurs through your account.
What LiveWell is and is not
LiveWell is a wellness and fitness tracking service. It helps you log workouts, hydration, sleep, nutrition, profile goals, and related information. LiveWell may also offer connected features such as Apple Health import or export, AI-assisted features, meal photo analysis, account sync, and subscription-backed premium tools.
LiveWell is not a medical service and does not provide medical advice, diagnosis, or treatment. Any workout suggestions, meal analysis, nutrition estimates, recovery comments, or other guidance in the Services are for general informational purposes only. They are not a substitute for a physician, registered dietitian, physical therapist, or other qualified professional.
Health and safety disclaimer
You should consult an appropriate healthcare professional before starting, stopping, or changing any exercise, nutrition, weight-management, sleep, or recovery program, especially if you have a medical condition, injury, pregnancy, or other health concern. Do not use LiveWell for emergency or urgent medical needs.
Exercise, training, and related activities carry inherent risks, including injury, illness, or death. You knowingly accept those risks when you use the Services. To the maximum extent permitted by law, you are solely responsible for your training decisions, food choices, use of equipment, and interpretation of any information generated by the Services.
AI-assisted features
Some LiveWell features may use automated systems or third-party AI providers to generate workouts, analyze meal photos, summarize trends, review logged activity, or respond to prompts. AI-generated outputs can be incomplete, inaccurate, delayed, or inappropriate for your situation. You must review outputs critically and use independent judgment before acting on them.
You may not rely on LiveWell AI features for medical, diagnostic, treatment, or other high-risk decisions. We do not guarantee that any AI output is correct, safe, personalized, or suitable for your goals.
Your content
You retain ownership of the content you submit to the Services, including logs, meal photos, prompts, notes, profile information, and related materials ("User Content"). You grant LiveWell a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display that User Content as needed to operate, secure, troubleshoot, and provide the Services to you.
You represent and warrant that you own or control the rights needed to submit your User Content and that your User Content does not violate any law or third-party rights. You are responsible for the legality, accuracy, and appropriateness of what you submit.
Apple Health, device permissions, and third-party services
If you connect the Apple Health app, LiveWell may read or write the health data categories you authorize. You can change those permissions at any time in iOS Settings or in the Apple Health app. Your use of Apple, Apple Health, Sign in with Apple, the App Store, and other third-party services is also subject to those third parties' terms and policies.
The Services may include links to or depend on third-party services that we do not own or control, including Apple services, backend hosting, object storage, OpenAI, Anthropic, and diagnostics providers if enabled. We are not responsible for the content, availability, or practices of those third-party services.
Subscriptions and billing
LiveWell may offer paid subscriptions or premium features, including LiveWell Plus. Purchases made in the iOS app are billed by Apple through your App Store account, not directly by LiveWell. Apple handles billing, renewals, cancellation flows, refunds, and payment methods under Apple's own terms and policies.
If you purchase an auto-renewable subscription, it renews automatically until you cancel it through your Apple account subscription settings. Deleting your LiveWell account does not cancel App Store billing, and any App Store subscription continues until you cancel it through Apple. If Apple tells us that a subscription expired, was revoked, was refunded, or failed to renew, we may suspend or remove the related premium access. Features, pricing, trial availability, and plan structure may change over time.
Except where required by law, payments are non-refundable through LiveWell. If you want a refund for an App Store purchase, you must follow Apple's refund process.
Rate limits and usage controls
LiveWell may apply technical, product, or account-level controls on use of the Services, including request caps, feature quotas, concurrency limits, temporary usage limits, model or processing-mode changes, provider routing changes, and anti-abuse controls. These controls may differ by feature, plan tier, device, account status, network source, or system health, and we may change them at any time to protect the Services, our providers, or other users.
You may not circumvent or attempt to circumvent any usage limit, restriction, or protective control, including by using automation, multiple accounts, proxies, scripts, or other methods intended to evade enforcement. We may throttle, suspend, restrict, or terminate access if we reasonably believe usage is excessive, abusive, fraudulent, or disruptive.
Acceptable use
You agree not to:
- use the Services in violation of any law or regulation;
- upload content that is unlawful, infringing, abusive, deceptive, or harmful;
- attempt to gain unauthorized access to the Services, accounts, systems, or data;
- interfere with or disrupt the Services, including rate limits, quotas, security features, or network operations;
- reverse engineer, scrape, copy, or exploit the Services except as allowed by applicable law; or
- use the Services to build or train a competing product from the Services or their outputs.
Intellectual property
The Services, including their software, design, branding, compilations, and related content other than User Content, are owned by Livewell LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you. Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive right to use the Services for your personal, non-commercial use.
Service availability and changes
We may add, remove, suspend, or change features at any time, including AI routes, Apple Health integrations, subscription benefits, supported devices, or backend availability. We do not guarantee that any feature will always be available, error-free, or continue in its current form.
Suspension and termination
We may suspend or terminate your access to some or all of the Services, deactivate your account, or delete your account if we reasonably believe you violated these Terms, created risk for users or the Services, engaged in abusive, fraudulent, or unlawful conduct, or if we are required to do so by law. We may also preserve or retain certain information as required by law, for legitimate security, usage-limit, or fraud-prevention purposes, or as described in our Privacy Policy. You may stop using the Services at any time. If you want to delete your account, use the in-app delete account flow. Account deletion disables server access immediately and queues server data deletion, but it does not cancel App Store billing, erase local device logs, remove Apple Health entries, or remove limited data retained as described in the Privacy Policy. You may contact support if you need help with that process.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Services will be secure, error-free, available at any particular time, or that any data loss, defect, or interruption will be corrected.
Limitation of liability
To the maximum extent permitted by law, Livewell LLC and its managers, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or use, arising out of or related to the Services or these Terms. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid us through the Services in the 12 months before the claim arose or (b) $100.
Some jurisdictions do not allow certain limitations of liability, so some of the limitations above may not apply to you.
Indemnity
You agree to defend, indemnify, and hold harmless Livewell LLC and its managers, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your misuse of the Services, or your violation of these Terms.
Governing law and disputes
These Terms are governed by the laws that apply in the state where Livewell LLC is organized and maintains its principal place of business, without regard to conflict-of-law rules. Except where applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Services must be brought in the state or federal courts that have jurisdiction over that location, and you consent to those courts' personal jurisdiction and venue.
Changes to these Terms
We may update these Terms from time to time. If we make a material change, we may provide notice through the Services or by other reasonable means. The updated Terms become effective when posted unless we say otherwise. By continuing to use the Services after updated Terms take effect, you agree to the revised Terms.
